1. Who we are
signround is operated by signround – Inh. Eray Yilmaz (sole proprietor), Europaring 90, 53757 Sankt Augustin, Germany ("we"). See the Imprint.
2. What signround does
You can upload documents, add fields and send them to others for electronic signature. We provide software only. We are not a party to your documents and give no legal advice.
3. Accounts
You must be at least 18 and give correct information. The Free plan is open to everyone. Paid plans are only for businesses (see section 10). Keep your login safe. You are responsible for what happens in your account.
4. Your documents
You keep all rights to your documents. You allow us to store, process and send them only as needed to run the service. You confirm that you may upload and share them and that they are lawful.
You can upload PDFs, images and text files (TXT). Images and text files are converted into PDF within signround; layout or fonts may change. Other formats (e.g. Word, Excel, PowerPoint) are not accepted; please save them as PDF first. Only the PDF is signed. Please check it before you send it.
5. Signers and personal data
- Signers do not need an account.
- You may only invite people you are allowed to contact. You are responsible for checking who signs. We only confirm that the signer had access to the invited email address.
- For personal data in your documents and about your signers, you are the controller and we are your processor. Our Data Processing Agreement under Art. 28 GDPR is part of these terms if you use signround for business.
6. Type of signature
signround provides simple electronic signatures only, not advanced (AES) or qualified (QES) signatures under eIDAS. Some documents need a handwritten signature, a QES or a notary, for example wills, property sales, guarantees given by private persons, or ending an employment contract in Germany. You must check this yourself. See the E-Signature Disclosure.
We add our own digital certificate signature and a time stamp to completed PDFs so that later changes can be detected. You can check a PDF on our verification page. This protects the file only. It does not identify the signers and does not turn their signatures into advanced or qualified signatures. It is not a qualified electronic seal. PDF readers may show it differently; we do not guarantee how a reader displays it.
7. Rules of use
No unlawful, fraudulent or abusive use. This includes forged signatures, phishing, spam invitations, malware, scraping or overloading the service.
8. Reports and our decisions (Digital Services Act)
- Anyone can report illegal content using our report form or by email to info@signround.com. We confirm receipt and inform you of our decision.
- If we block a document, a signing link or an account, we tell the affected user the reason and how to object. People review all decisions; we use no automated moderation.
- You can object by replying to our decision email. You can also go to court.
9. Availability and changes
We aim for high availability but cannot guarantee it. We may change features. We will tell you about important changes to these terms by email at least 30 days in advance. If you object, you may delete your account before the change takes effect.
10. Plans, prices and payment
- Plans. We offer a Free plan and paid plans (for example Personal and Business). Features, limits and prices are shown on our pricing page when you order.
- Businesses only. Paid plans are offered only to businesses (entrepreneurs under § 14 German Civil Code), not to consumers. When you order, you confirm that you act for your trade, business or profession and give your company name. We may ask for proof, such as a VAT ID, and may refuse or cancel orders from consumers.
- Prices. Prices are net prices. Whether VAT is added depends on our tax status and your location; this is shown at checkout and on the invoice.
- Payment. You pay in advance for each billing period (monthly or yearly) through our payment provider. You receive the invoice by email.
- Automatic renewal. Your plan renews automatically for the same period unless you cancel it before the end of the current period. You can cancel in your account settings or by email. After the end of the period, your account changes to the Free plan.
- Price changes. We will tell you about price changes at least 30 days before they apply to your next period. You can cancel before then.
- Late payment. If a payment fails, we may limit your account to the Free plan until it is paid.
- No refunds for the remaining period after you cancel, unless the law requires it.
11. Liability
- We are liable without limit for intent and gross negligence, for injury to life, body or health, under a guarantee we have given, if we fraudulently concealed a defect, and under the German Product Liability Act.
- For slight negligence, we are liable only if we breach an essential contractual duty. These are duties that make proper performance of the contract possible in the first place and on which you may regularly rely. In this case our liability is limited to the damage that is typical for this kind of contract and was foreseeable when the contract was made.
- If data is lost due to slight negligence, we are liable only for the effort that would have been needed to restore it if you had kept your own copies of your completed documents (see section 6 of the Privacy Policy).
- For the Free plan, which is provided without charge, we are liable only for intent and gross negligence, and in the cases listed in point 1.
- Otherwise our liability is excluded. These rules also apply to the personal liability of our employees and agents.
12. Ending the contract
You can delete your account at any time. If you have a paid plan, it ends at the end of the paid period. We can end the contract with 30 days' notice, or immediately for serious breaches of these terms. Data deletion follows the Privacy Policy.
13. Governing law
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, the mandatory consumer protection rules of your home country still apply. For merchants, the place of jurisdiction is the courts competent for Sankt Augustin, Germany. If the German and English versions of these terms differ, the German version prevails.
